Unity Property Inspections & Pest LLC, including but not limited to its owners, employees, agents, and contractors (“Company”) will perform all services in a workmanlike manner. Services are limited to the services stated on the estimate provided to you by Company (the “Services”). Company will use reasonable care to avoid damage to any structures, landscaping, pets, and other animals on or about the property. Company shall not be liable for any damage caused while performing the Services except those caused by gross negligence or the intentional actions of Company.

Limitations on Liability

Company’s liability and damages shall be limited to the Services provided, or at Company’s discretion, the cost of the Services provided.

Payment Terms

Customer agrees to pay Company’s invoices upon receipt. If payment is not received by Company within thirty (30) days of the date of the invoice, Company may pursue all available legal remedies and Company shall be entitled to recover from Customer all reasonable costs of collection, including reasonable attorney’s fees and expenses, in addition to any outstanding amount due Company.

Authorization

By requesting Company to perform the Services, Customer authorizes Company to: (a) access their property, including any such places as are required to perform the Services; and (b) perform the Services. Customer agrees to have an authorized adult present at the property on the date of service to permit Company access. If no authorized adult is present on the date of service, Company will wait ten (10) minutes and after such time, Company shall have the right to leave the property and assess Customer a no-show fee.

No Warranty

Company does not provide any warranty of any kind related to the Services, unless explicitly agreed to in writing by Company.

Waiver and Release

Customer acknowledges that Company uses chemicals to perform the Services and agrees to abide by all warnings provided by Company. By signing the estimate, invoice, and/or work order, Customer hereby waives any all claims and damages against Company arising from or related to the Services, except as otherwise set forth herein, releases Company from all such claims and damages, and covenants not to sue Company.

Governing Law

Any dispute arising from or related to the Services shall be governed by Ohio law and shall be brought in a court of competent jurisdiction in Summit County Ohio.

Entire Agreement

The estimate, invoice, and/or work order, including the Terms and Conditions thereon, constitute the entire agreement of Company and Customer. If any of the Terms and Conditions included thereon conflict with these Terms and Conditions, these Terms and Conditions shall control. If any Terms and Conditions are held to be invalid or unenforceable for any reason, the remaining Terms and Conditions shall remain in full force and effect.

Agreement to Terms and Conditions: By: (1) signing the estimate, invoice, or work order; (2) providing payment; and/or (3) accepting Services, Customer agrees to the Services and these Terms and Conditions.

Worry Free Terms and Conditions

FUTURE DAMAGE

Unity Property & Pest is not responsible for and does not guarantee against present or future damage to the building or contents, or provide for the repair or replacement thereof. This agreement does not provide for the control of termites, fungus, beetles, or any other pests not indicated herein. This plan does not guarantee, and Unity Property & Pest does not represent, that covered insects will not return to the Property.

PURCHASER’S RESPONSIBILITY

Purchaser’s cooperation is important to ensure the most effective results from Unity Property & Pest’s service. Whenever conditions conducive to the breeding and harborage of pests are reported in writing by Unity Property & Pest, and not corrected by Purchaser, Unity Property & Pest cannot assure satisfactory service. If the conditions noted by Unity Property & Pest are not corrected as required, all guarantees in this agreement shall automatically terminate and be canceled. Further, additional treatments in areas of such conditions that are not corrected as required shall be paid for by the customer as an extra service charge. Purchaser is responsible for collections fees.

NOTICE OF CLAIMS/ACCESS TO PROPERTY

Any claim arising out of this Agreement must be made in writing by Purchaser to Unity Property & Pest during the term of this Agreement. Purchaser must allow Unity Property & Pest access to the identified property for any purpose contemplated by this Agreement. The failure to promptly allow Unity Property & Pest such access will terminate this Plan without further notice.

NON-PAYMENT/DEFAULT

The obligation of Unity Property & Pest hereunder is conditioned upon payment in full of the Initial charge and all regular service charges, and failure to pay such charges shall cancel this Plan in its entirety and discharge Unity Property & Pest of any liability, and any amount paid shall become the property of Unity Property & Pest.

LATE FEES

If payment for services is not received within 45 days of the due date, an additional late charge of $7.00 or 16%, whichever is greater, per every 30 days that service is not paid in full will be added to the balance. In the case of non-payment or other breach of contract by the customer, Unity has the right to terminate this contract and all guarantees and demand full payment owed. Customer shall be responsible for Unity’s collections costs and attorney fees in the event that Unity obtains third-party attorneys or collection agencies to retrieve funds.

DISCLAIMER

A. FORCE MAJEURE.

The liability of Unity Property & Pest under this Agreement will be terminated if Unity Property & Pest is prevented from fulfilling its responsibilities under the terms of this Agreement by reason of delays in transportation, shortages of fuel and/or materials, strikes, embargoes, fires, floods, quarantine restrictions, earthquakes, hurricanes, or any other act of God or circumstances or cause beyond the control of Unity Property & Pest. Unity Property & Pest reserves the right to adjust the service charge in the event of any such occurrences or happenings.

B. OTHER INSECTS/ORGANISMS

This Agreement provides for treatment and re-treatment for pests indicated herein. This Agreement does not provide for treatment of subterranean (ground) termites (Reticulitermes spp., Heterotermes spp., Coptotermes spp.) drywood termites. (Kalotermes spp.,Incisitermes spp., Cryptotermes spp.), wood destroying beetles, fungi or any other wood destroying organisms.

C. CHANGE IN LAW

Unity Property & Pest performs its services in accordance with the requirements of federal, state and local law. In the event of a change in existing law as it pertains to the services herein. Unity Property & Pest reserves the right to revise the service charge or terminate this Agreement. EXCEPT AS OTHERWISE PROHIBITED BY STATUTE OR PUBLIC POLICY, UNITY PROPERTY & PEST DISCLAIMS AND SHALL NOT BE RESPONSIBLE FOR ANY LIABILITY FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY PUNITIVE AND/OR LOSS OF ENJOYMENT DAMAGES. THE OBLIGATIONS OF UNITY PROPERTY & PEST SPECIFICALLY STATED IN THIS AGREEMENT ARE GIVEN IN LIEU OF ANY OTHER OBLIGATION OR RESPONSIBILITY. EXPRESS OR IMPLIED, INCLUDING ANY REPRESENTATION OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE

ENTIRE AGREEMENT

This Agreement, these Terms and Conditions and the Inspection Graph constitute the entire Agreement between the parties and no other representations or statements, whether oral or written, shall be binding upon the parties.

PESTICIDE LABELS

UPON REQUEST UNITY PROPERTY & PEST WILL PROVIDE PURCHASER WITH A COPY OF THE MANUFACTURER’S SPECIMEN LABEL FOR THE PESTICIDE(S) WHICH WILL BE USED TO TREAT THE PREMISES
